Independent Contractor Agreement

This Independent Contractor Agreement (this “Agreement”) is entered into between Klash LLC, a Texas limited liability company (“Klash,” “we,” “us,” or “our”), and the individual completing Washer onboarding through the Klash mobile application (“you” or “Washer”).

Capitalized terms used but not defined in this Agreement have the meanings given to them in Klash's Terms of Service (“Terms”). This Agreement supplements, and should be read together with, the Terms and the Klash Privacy Policy. If this Agreement conflicts with the Terms on any point specific to the Washer relationship, this Agreement controls; on all other matters, the Terms control.

1. Acceptance

You must be at least 18 years old to become a Washer, consistent with Section 4 of the Terms. You accept this Agreement electronically as part of Washer onboarding within the Klash app, including completing identity verification and payout onboarding through Stripe Connect. Your electronic acceptance has the same effect as a physical signature.

2. Independent Contractor Relationship

2.1 No Employment

You are an independent contractor, not an employee of Klash. Nothing in this Agreement, the Terms, or your use of the Services creates an employment relationship. You are not entitled to any employee benefits, including minimum wage, overtime, workers' compensation, unemployment insurance, or employer-provided benefits of any kind, as a result of this Agreement.

2.2 No Partnership, Agency, or Joint Venture

Nothing in this Agreement creates a partnership, joint venture, or agency relationship between you and Klash. Neither party has the authority to bind the other or to act on the other's behalf, except as expressly stated in this Agreement or the Terms.

2.3 No Exclusivity

This Agreement is non-exclusive. You may perform detailing or other services for other companies, platforms, or customers outside of Klash, and Klash may work with any number of other Washers, at either party's discretion.

3. Nature of the Work

3.1 Voluntary Participation

Going online within the Services, and accepting any individual Booking, is entirely optional. You are never required to go online, accept a minimum number of Bookings, or maintain any particular level of activity on the Platform.

3.2 Schedule and Availability

You determine your own schedule and availability. Klash does not set your hours, require you to work at any particular time, or restrict the amount of time you spend online or offline.

3.3 Equipment and Supplies

You are responsible for providing your own equipment, supplies, and materials needed to perform detailing services, and for maintaining that equipment in safe, working condition. Klash does not provide or reimburse you for equipment or supplies.

3.4 Manner of Performance

You determine how to perform each Booking, using your own methods, techniques, and professional judgment. Klash does not supervise, direct, or control the manner in which you perform detailing services, except as necessary to operate the Platform, maintain baseline quality and safety standards described in this Agreement, and enforce the Terms.

4. Payments

4.1 Customer Booking and Processing Fee

Customers pay a Customer Booking and Processing Fee on each Booking, as described in Section 10.1 of the Terms. This fee belongs to Klash. It is not part of the service price, and no portion of it is owed to you.

4.2 Standard Platform Fee

For new bookings qualified under Klash 1.1, Standard businesses pay 4% on Direct transactions and 8% on Klash Marketplace transactions actually processed through Klash. Fleet businesses pay 2% Direct and 5% Marketplace; eligible active KlashPlus businesses pay 0% on both. Historical booking economics remain unchanged, as described in Section 10.2 of the Terms.

4.3 Stripe Connect Payouts

Your payouts are processed through Stripe Connect. To receive payouts, you must complete identity verification and payout onboarding through Stripe. Klash does not directly hold or store your bank account details; these are collected and held by Stripe, as described in the Privacy Policy.

4.4 Payout Timing

Payout timing depends on Stripe Connect processing and your connected financial institution, consistent with Section 10.5 of the Terms.

4.5 Taxes

You are solely responsible for reporting and paying all federal, state, and local taxes arising from payments you receive through the Services, including self-employment tax. Klash does not withhold taxes from your payouts. Klash may issue tax reporting forms (such as a Form 1099) as required by applicable law.

5. KlashPlus Membership

KlashPlus is an optional paid membership described fully in Section 10.3 of the Terms. This section summarizes how it applies to you as a Washer:

• Price. KlashPlus costs $99 per month, or $65 per month for subscribers approved for the launch price, billed monthly. Fleet costs $300 per month, or $150 per month for subscribers approved for the launch price. Launch monthly pricing continues while the subscription remains continuously active; effective cancellation ends that price and later resubscription uses the then-available offer unless expressly granted otherwise.
• Trial. Klash determines eligibility for a one-time 14-day KlashPlus free Trial Period. You may receive only one Trial Period, ever — resubscribing after a previous enrollment does not entitle you to another free trial.
• Cancellation. You may cancel KlashPlus at any time. Cancellation takes effect at the end of your current Trial Period or Billing Period; your KlashPlus benefits (the 0% platform fee described below) remain active through the end of that period.
• No Refunds. KlashPlus does not provide refunds, prorated or otherwise, for any unused portion of a Trial Period or Billing Period.
• After Expiration or Lapse. If your KlashPlus subscription is canceled, expires, or lapses due to a failed or incomplete payment, you return to the Standard Platform Fee described in Section 4.2 of this Agreement for new Bookings qualified while not in active KlashPlus status; existing Booking economics are not rewritten.
• Payout While Enrolled. An eligible active KlashPlus subscription (including an active Trial Period) provides 0% Direct and Marketplace business service fees for newly qualified Bookings. Independent business proceeds go to its authoritative Express account. Fleet business proceeds go to the authoritative Fleet company Express account, never to an individual Fleet worker. Stripe Express uses scheduled automatic payouts.

6. Washer Responsibilities

As a Washer, you agree to:

• Comply with laws. Comply with all applicable federal, state, and local laws and regulations in connection with the services you perform, including any licensing, permitting, or registration requirements that apply to your work.
• Maintain licenses if required. Obtain and maintain any license, permit, or registration required by applicable law to perform detailing services in the location where you operate.
• Maintain insurance if legally required. Obtain and maintain any insurance coverage required by applicable law for the services you perform. Independent providers must meet applicable legal insurance requirements. Fleet company readiness uses the approved channel-specific insurance requirements in Section 15.2 of the Terms; Fleet Marketplace services require verified company coverage.
• Provide quality work. Perform each Booking professionally and to a reasonable standard of care.
• Upload Proof Photos. Capture and upload honest, unaltered Proof Photos as required to complete a Booking, consistent with Section 9 of the Terms.
• Communicate professionally. Communicate with Customers and with Klash support in a professional and respectful manner.
• Protect customer property. Take reasonable care to avoid damaging a Customer's vehicle or property while performing a Booking, consistent with Klash's Damage Claims process described in Section 14 of the Terms.

Consistent with Section 15.1 of the Terms, Klash does not require background checks as a condition of becoming a Washer at launch, but Klash reserves the right to require background checks in the future as an additional condition of Washer eligibility.

7. Platform Rules and Prohibited Conduct

You agree not to:

• Solicit off-platform. Identify a Customer through the Services and then arrange payment or service outside of Klash to avoid Klash's fees, consistent with Section 16 of the Terms.
• Commit fraud. Engage in any fraudulent activity in connection with the Services, including fraud related to Bookings, payments, payouts, or KlashPlus.
• Submit fake photos. Submit falsified, altered, or misleading Proof Photos.
• Create multiple accounts. Create or use more than one Washer account, or use a fake identity.
• Engage in abuse. Harass, threaten, or behave abusively toward a Customer or any other user of the Services.

8. Suspension and Termination

8.1 Termination by Washer

You may stop using the Services and terminate this Agreement at any time by ceasing to use the Klash app or by deleting your account as described in Section 7.2 of the Terms.

8.2 Suspension or Termination by Klash

Klash may suspend or terminate your access to the Services, at Klash's discretion, for reasons including:

• Fraud
• Safety concerns
• Abuse
• Repeated cancellations
• Creating or using fake or multiple accounts
• Chargeback abuse
• Subscription or free-trial abuse, including attempting to obtain more than one KlashPlus Trial Period
• Violation of the Terms or this Agreement

Klash will make reasonable efforts to notify you of a suspension or termination and the reason for it, except where doing so would compromise an active investigation, safety concern, or legal requirement. Klash may suspend your account immediately where necessary to protect users, investigate fraud, comply with legal obligations, or maintain the integrity of the Platform.

8.3 Effect of Termination

Termination of this Agreement ends your ability to accept new Bookings. Payment obligations for Bookings you completed before termination are not affected by termination, except as provided in Section 10.6 (Chargebacks and Payment Disputes) of the Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLASH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES AS A WASHER.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KLASH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL PLATFORM FEES KLASH RETAINED FROM YOUR BOOKINGS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

This section is consistent with, and does not expand or narrow, Section 21 of the Terms.

10. Indemnification

You agree to indemnify, defend, and hold harmless Klash and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your performance of services for a Customer; (b) your violation of this Agreement or the Terms; (c) your violation of any applicable law; or (d) any equipment, supplies, or methods you use to perform services.

This section is consistent with, and does not expand or narrow, Section 22 of the Terms.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any claim against Klash, you agree to first contact Klash at support@getklash.com and attempt in good faith to resolve the dispute informally.

11.2 Binding Arbitration

If a dispute is not resolved informally within thirty (30) days, you and Klash agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Terms, or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court in lieu of arbitration.

11.3 Individual Claims Only; Class Action Waiver

Any arbitration or proceeding between you and Klash shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You and Klash waive any right to participate in a class action lawsuit or class-wide arbitration, to the extent permitted by applicable law.

11.4 Venue

Any arbitration will be conducted in Midland County, Texas, unless you and Klash agree otherwise.

This section is identical in substance to Section 25 of the Terms, so that Washers are not subject to two different dispute-resolution mechanisms depending on which document a claim arises under.

12. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, consistent with Section 28 of the Terms.

13. Survival

Provisions of this Agreement that by their nature should survive termination — including payment obligations, tax responsibilities, limitation of liability, indemnification, governing law, and dispute resolution — survive termination of this Agreement or your Washer account.

14. Modifications to This Agreement

Klash may update this Agreement from time to time to reflect changes to the Services, our practices, or applicable law. If we make a material change, we will provide notice through the Services or by other reasonable means before the change takes effect. Continuing to use the Services as a Washer after a material change takes effect constitutes acceptance of the updated Agreement.

15. General Provisions

• Entire Agreement. This Agreement, together with the Terms and the Privacy Policy, constitutes the entire agreement between you and Klash regarding your relationship as a Washer, and supersedes any prior agreements on that subject.
• Severability. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect.
• No Waiver. Klash's failure to enforce any provision of this Agreement is not a waiver of its right to do so later.
• Assignment. You may not assign or transfer this Agreement or your Washer account. Klash may assign this Agreement in connection with a merger, acquisition, or sale of assets.
• Electronic Acceptance. Your electronic acceptance of this Agreement during onboarding, and your continued use of the Services as a Washer, constitute your agreement to be bound by its terms.
